Readers should note that a resignation is a Request to be Excused
from a Duty and does not become not effective until it is accepted
(Robert's Rules of Order Newly Revised, 10th edition, p. 279).  So
the offer of a resignation does not automatically create a
vacancy.

I would recommend that all board members obtain a copy of the
current Robert's Rules (now the 11th edition) and spend some time
becoming familiar with it.  This will help avoid many
misunderstandings and conflicts when it comes to procedure,
especially if amendments to the bylaws are to be proposed.
